In the Matter of Consett Iron Company Limited, and in the Matter of the Companies Act, 1929.
Notice is hereby given that by an Order dated the 18th March, 1936, made in the above matters the Court has directed separate Meetings to be convened of the Debenture stockholders and shareholders specified in the First Column of the Schedule hereto for
the purpose of considering and, if thought fit, approving with or without modification the Scheme of Arrangement proposed to be made between the Company and the holders of such Debenture stock and shares, and that such Meetings will be held at the
respective places specified in the Second Column of the said Schedule and on the respective dates and at the respective times specified in the Third Column of the said Schedule, at which places and respective times all such Debenture stockholders and
shareholders are requested to attend.
Any Debenture stockholder or shareholder may attend the Meeting of any class of which he is a member and vote thereat either in person or by proxy.
A print of the said Scheme can be seen and forms of proxy may be obtained, either at the Company's office, Consett Iron Works, Consett, in the county of Durham, or at the office of the undermentioned Solicitors, 2, Bond Court, Walbrook, London, E.C.4.
In the case of joint holders of Debenture stock and/or shares, the vote of the senior who tenders a vote, whether in person or by proxy, shall be accepted to the exclusion of the votes of the other joint holders and for this purpose seniority shall be
determined by the order in which the names stand in the registers.
It is requested that forms appointing proxies be lodged with the Secretary, at the office of the Company, Consett Iron Works, Consett, in the county of Durham, not later than the respective times set out in the Fourth Column of the said Schedule, but if
not so lodged must be handed to the Chairman at the Meeting at which they are to be used.
By the said Order the Court has appointed Clive Cookson, or failing him, Edward James George, or failing him, Ralph Alsop, to act as Chairman of each of the said Meetings and has directed the Chairman to report the results of the
said Meetings to the Court.
The proposed Scheme will be subject to the subsequent sanction of the Court.
